Please read the agreement below before registering.

Terms of the Agreements
The term of this agreement will begin upon our acceptance of your Affiliate application and may be terminated by either party at any time, without cause by giving the other party written notice of termination. You are only eligible to earn referral fees on sales occurring during the specified term. Causes for termination include: Use of unsolicited email/spam to promote the Memory Beads products. If you use spam to promote the service you will be notified that your account has been terminated. If either party terminates the agreement 'without cause' then you will have the opportunity to cash-out. i.e. any and all commissions outstanding during the agreements term will be paid.

Commissions Earned
Memory Beads will pay out commissions after full payment of any sales. Currently the commission is 12% per sale made directly through you site. Commission checks are mailed monthly in the form of a check payable in US Dollars to the 'Payee' as described in the affiliate application form. You are held responsible for your own tax liabilities in relation to this payment. All commissions are tracked through Mals-ecommerce thrid party tracking software which insures accurate and ubiased reporting.

The minimum payment level is $25.00. Accounts owed under this figure will be carried forward to the next sales period until commissions have accumulated to the $25.00 threshold. Commissions against sales that are rejected upon credit card authorization or otherwise refunded or charged back will be deducted from your future commission payment. Returns: We reverse commissions on orders returned for a refund. Our return rate is less than 1%. Cancellations: We reverse commissions for orders that are canceled prior to shipment.

Orders may be canceled due to:
Customer request
Suspected fraud
Credit card that is declined
Credit Card Chargebacks ( Disputed charges almost always due to fraud )

Accounting Policy
Pay Periods: Pay periods end at 12:00 am on the last day of each month. Payment is by check only. Checks are mailed within 15 days after the end of the period.

COPPA
You may NOT become an affiliate if you are under the age of 18 which is in compliance with the Children's Online Privacy Protection Act of 1998. If you inform us that we have collected or received information from a child under 18, we will delete such information immediately from our databases.

Changes To The Service
Memory Beads reserves the right to change, modify, add or remove portions of the affiliate program at any time and may add to, change, suspend or discontinue any aspect of the Service at any time. In the event of any material change, Memory Beads will notify you via e-mail or on the at least 7 days prior to any such changes taking effect, at which time you may either agree to such changes or withdraw from the affiliate program.

Spam
Memory Beads does not intentionally send unsolicited e-mail messages that could legitimately be construed as spam. Affiliates are held to the same standards.

Limitation of Liability
We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under to this Agreement.

Ownership and Licenses
You, the Affiliate, are granted a non-exclusive, limited, revocable right to use Memory Beads provided trademarks and banners. All images, technology and content provided for your use is and shall remain the sole property of Memory Beads, and no part thereof shall be deemed assigned or licensed to you except as explicitly provided for herein. All intellectual property rights, including trademarks, copyrights, trade names and service marks related to the foregoing shall remain the sole property of Memory Beads. You may not modify the trademarks, banners, the content or any of the images provided to you in any way. Memory Beads may immediately terminate your license to use the marks if the merchant reasonably believes that such use dilutes, tarnishes or blurs the value of their mark.

Acknowledgement
By signing up to be an affiliate, you acknowledge that you have read this agreement and agree to all of its terms and conditions. You understand that we may at any time, directly or indirectly solicit customer referrals on terms that my differ from those contained in this agreement or operate websites that are similar to or compete with your web site. You have independently evaluated the desirability of participating in the program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
